1. Services

The Service Provider agrees to provide the following services to the Client:

2. Timeline

The services will be provided according to the following schedule:

Timelines are estimates and may be affected by Client response times, scope changes, or unforeseen circumstances. The Service Provider will communicate any significant delays promptly.

Invoices will be sent via email. Payment should be made by bank transfer to the account details provided on the invoice.

Late payments will incur interest at 8% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

4. Expenses

Any additional expenses (such as stock images, fonts, hosting, or third-party services) must be approved by the Client in advance and will be billed separately.

5. Revisions and Changes

This agreement includes [X] rounds of revisions. Additional revisions or scope changes will be quoted separately and require written approval before work proceeds.

6. Intellectual Property

Upon receipt of full payment:

• The Client will own all rights to the final deliverables created specifically for this project
• The Service Provider retains rights to any pre-existing materials, tools, or frameworks used
• The Service Provider may display the work in their portfolio unless otherwise agreed

7. Confidentiality

Both parties agree to keep confidential any proprietary information shared during this engagement. This includes business strategies, financial information, and any materials marked as confidential.

8. Termination

Either party may terminate this agreement with [14] days written notice. Upon termination:

• The Client will pay for all work completed up to the termination date
• The Service Provider will deliver all completed work to date
• Any deposit paid is non-refundable unless termination is due to Service Provider default

9. Liability

The Service Provider's total liability under this agreement is limited to the total fees paid. The Service Provider is not liable for any indirect, consequential, or incidental damages.

10. Independent Contractor

The Service Provider is an independent contractor, not an employee. The Service Provider is responsible for their own taxes, insurance, and equipment.

11. Governing Law

This agreement is governed by the laws of England and Wales. Any disputes will be resolved through negotiation, mediation, or the courts of England and Wales.

12. Entire Agreement

This document constitutes the entire agreement between the parties. Any modifications must be made in writing and signed by both parties.
